End User License Agreement (EULA)

By downloading, installing, or using this software ("AtoutAudio"), you agree to be bound by all terms of this Agreement. If you do not agree to this Agreement, please discontinue installation and use immediately.
Article 1 (License Grant and One-Account-One-PC Policy)
AtoutAudio ("the Company") grants you a limited, non-exclusive, non-transferable license to install and use this software for personal, non-commercial purposes.
The license for this software is strictly limited to one (1) computer (one hardware instance) per active account / purchased license key.
If you replace your computer, reformat your operating system, or otherwise need to change devices, you may use the Software's built-in Reset Device feature to deactivate your previous device registration and activate a new device. The Reset Device feature may be used once every 30 days. This limit exists to prevent abuse and license sharing. The Company reserves the right to deny or delay a device reset request if misuse is suspected.
Article 2 (System Audio Processing and Notice of Technical Limitations)
This software registers with the Windows system audio processing pipeline (Audio Processing Object, APO) and is involved in your system's audio configuration.
Because this software directly controls the Windows Audio Processing Object (APO), temporary audio interruptions or system instability may occur due to your PC environment or conflicts with third-party audio drivers and security software. The Company warrants that this software is a pure audio-processing program that does not tamper with game memory; however, exceptional situations arising from third-party games' anti-cheat systems misidentifying this software are subject to the technical characteristics disclosed herein.
Installing, updating, or uninstalling the Software may cause a brief interruption or temporary silence in system audio. Closing audio/video-related applications (web browsers, media players, music streaming apps, etc.) before installing, updating, or uninstalling is recommended, whether or not they are actively playing audio. In rare cases, restarting your computer may be required to restore audio.
Article 3 (Automatic Updates and Network Communication)
This software periodically communicates in the background with the Company's own backend API server for the purposes of maintaining functionality, enhancing security, verifying license authenticity, and checking for automatic minor updates and patches (via GitHub Releases integration).
By using this software, you are deemed to consent to its network communication functions for checking and downloading the latest minor updates and security patches. Where an update would modify the installed Software, you will be notified and your consent will be required before installation proceeds (license verification checks may occur automatically without modifying the Software).
Article 4 (Updates and Major Upgrades Policy)
- Scope of License: The license granted hereunder applies solely to the specific major version of the Software purchased (e.g., v1.x).
- Free Minor Updates: Maintenance updates, bug fixes, security patches, and minor functionality enhancements within the same major version (e.g., v1.0 to v1.1) will be provided free of charge.
- Paid Major Upgrades: New major versions incorporating significant performance improvements, architectural changes, or major new features (e.g., v1.x to v2.0) are not covered by this license and may be offered as optional paid upgrades. The determination of whether a given update constitutes a "minor update" or a "major upgrade" shall be made at the Company's sole discretion.
- Retained Right to Purchased Version: You are under no obligation to purchase major upgrades and retain the right to continue using the specific major version you previously purchased.
- Separate Licensing: Major upgrades, if purchased, will be issued as a new license key separate from your existing license.
Article 5 (Restrictions and Prohibition of Reverse Engineering)
You shall not attempt to reverse engineer, decompile, or disassemble this software, extract its source code, circumvent its hardware ID (HWID) authentication, or share or sell license keys without authorization.
Violation of this provision may result in civil and criminal liability.
Article 6 (Data Collection: HWID and Diagnostic Information)
This software collects and processes unique hardware identification information (HWID) for the purposes of license authentication and prevention of duplicate/concurrent use.
When an error occurs, diagnostic information (such as a crash log) may be automatically saved locally on your device to help you troubleshoot issues. This information is not automatically transmitted to the Company. If you choose to contact support, you may voluntarily share this log with us (e.g., as an email attachment) to help diagnose the issue. Further details are governed by the Privacy Policy.
Article 7 (Disclaimer of Warranties)
This software is provided "AS IS," to the extent permitted by applicable law, without any express or implied warranty. This includes, without limitation, no warranty of fitness for a particular purpose, uninterrupted operation, or system compatibility.
Article 8 (Limitation of Liability and Disclaimer)
As this software is provided "as is," the Company shall not be liable for limitations arising from the system environment, except in cases of the Company's intentional misconduct or gross negligence.
This software is designed solely for audio signal processing purposes. The Company disclaims liability for indirect effects arising from changes to the anti-cheat policies of third-party programs or games, in consideration of the technical characteristics beyond the Company's control.
To the maximum extent permitted by law, the Company's total liability arising from this Agreement or your use of the Software shall not exceed the amount you paid for the license.
Article 9 (Termination and License Suspension)
The Company takes a graduated approach to enforcing this Agreement.
Where a violation is clear and deliberate — including but not limited to violations of Article 5 (unauthorized reverse engineering, decompiling, license key sharing or resale, or distribution of cracked or modified versions of the Software) — the Company may suspend or terminate the relevant license immediately, without prior notice, to protect the integrity of the Software and its licensing system. No refund will be issued for a license terminated on this basis.
For other situations that do not clearly indicate deliberate misuse — such as license issues arising from a legitimate device change, hardware/HWID variance, or a suspected false positive — the Company will first attempt to resolve the matter directly with the user before suspending the license. The Company will contact the user at the email address associated with the purchase, or the user may contact support@atoutaudio.com, and will be given a reasonable opportunity to respond before any suspension takes effect. If the license is found to have been suspended in error, it will be promptly reactivated.
Users who are simply changing computers do not need to contact the Company — the built-in Reset Device feature described in Article 1, available once every 30 days, may be used instead and is not treated as a violation of this Agreement.
Article 10 (Refunds)
Refunds are handled in accordance with the Company's Refund Policy and the Buyer Terms of Lemon Squeezy, our payment processor and Merchant of Record. Lemon Squeezy has final authority over payment disputes and chargebacks. If a refund is issued, your license will be automatically deactivated and the Software will cease to function.
Article 11 (Software Support and Lifecycle)
The Company aims to maintain compatibility with current versions of Windows, but does not guarantee indefinite support. Future changes to the Windows operating system may render older versions of the Software incompatible. The Company reserves the right to discontinue support for outdated versions of the Software or older operating systems at its discretion, with reasonable advance notice where practicable.
Article 12 (Governing Law)
This Agreement shall be governed by the laws of the Republic of Korea, without regard to conflict of law principles.
Article 13 (Governing Language)
This Agreement is originally written in English. In the event of any conflict or inconsistency between the English version and any translated version of this Agreement, the English version shall prevail and govern.
