Terms of Service

1. Acceptance of Terms
By downloading, installing, or using AtoutAudio ("the Software"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Software.
2. License Grant
Subject to your compliance with these Terms, AtoutAudio ("we," "us," "our") grants you a limited, non-exclusive, non-transferable license to install and use one (1) copy of the Software on one (1) device per purchased license key.
3. License Key and Device Activation
- Each license key may be activated on one (1) device at a time.
- If you replace your computer, reformat your operating system, or otherwise need to change devices, you may use the Software's built-in Reset Device feature to deactivate your previous device and activate a new one.
- The Reset Device feature may be used once every 30 days. This limit exists to prevent abuse and license sharing.
- We reserve the right to deny or delay a device reset request if we suspect misuse.
4. Updates and Major Upgrades Policy
Your license applies to the specific major version of the Software you purchased (e.g., v1.x). Maintenance updates, bug fixes, security patches, and minor functionality enhancements within the same major version are provided free of charge. New major versions incorporating significant new features or architectural changes are not covered by your existing license and may be offered as a separate, optional paid upgrade. Whether a given update qualifies as a "minor update" or "major upgrade" is determined at our sole discretion. You are under no obligation to purchase a major upgrade and may continue using the major version you originally purchased. A major upgrade, if purchased, is issued as a separate license key.
5. Prohibited Conduct
You agree NOT to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software or any of its components (including but not limited to the audio processing engine).
- Share, sell, sublicense, rent, or otherwise distribute your license key to any third party.
- Circumvent, disable, or interfere with the Software's license verification or activation system.
- Use the Software for any unlawful purpose.
6. Termination
We take a graduated approach to enforcing these Terms.
Where a violation is clear and deliberate — including but not limited to unauthorized sharing or resale of a license key, reverse engineering, decompiling, or distributing cracked or modified versions of the Software — we reserve the right to suspend or terminate the relevant license immediately, without prior notice. No refund will be issued for a license terminated on this basis.
For other situations that are not clearly deliberate misuse — such as license issues arising from a legitimate device change, hardware/HWID variance, or a suspected false positive — we will first attempt to resolve the issue directly with you rather than suspending your license outright. We will contact you at the email associated with your purchase, or you may reach us at support@atoutaudio.com, and you will have a reasonable opportunity to explain the circumstances before any suspension takes effect. If we determine a license was suspended in error, we will promptly reactivate it.
If you are simply switching to a new computer, you do not need to contact us — use the built-in Reset Device feature described in Section 3, available once every 30 days, which is not treated as a violation of these Terms.
7. System Requirements and Functionality
The Software modifies how your operating system processes audio at a system level (via a Windows Audio Processing Object / APO). By installing the Software, you acknowledge that:
- The Software integrates with your system's audio pipeline and registry.
- Installing, updating, or uninstalling the Software may cause a brief interruption or temporary silence in system audio. We recommend closing audio/video-related applications (browsers, media players, streaming apps, etc.) before installing, updating, or uninstalling, whether or not they are actively playing audio.
- In rare cases, driver conflicts or hardware-specific issues may cause audio instability. If this occurs, restarting your computer typically resolves the issue.
- The Software processes system audio signals only. It does not read from or write to the memory of any other application or process, does not modify game files, and does not communicate with any game client or server.
8. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ALL HARDWARE/SOFTWARE CONFIGURATIONS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT IN CASES OF THE COMPANY'S INTENTIONAL MISCONDUCT OR GROSS NEGLIGENCE, ATOUTAUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO SYSTEM INSTABILITY, DATA LOSS, HARDWARE MALFUNCTION, OR LOSS OF AUDIO FUNCTIONALITY, ARISING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE.
10. Automatic Updates and Network Communication
The Software periodically connects to the internet to:
- Check for and download software updates.
- Verify your license status with our licensing server.
By using the Software, you are deemed to consent to these network communication functions, including checking for and downloading the latest minor updates and security patches. Where an update would modify the installed Software, you will be notified and your consent will be required before installation proceeds (license verification checks may occur automatically without modifying the Software).
11. Software Support and Lifecycle
We aim to maintain compatibility with current versions of Windows, but we do not guarantee indefinite support. Future changes to the Windows operating system may render older versions of the Software incompatible. We reserve the right to discontinue support for outdated versions of the Software or older operating systems at our discretion, with reasonable advance notice where practicable.
12. Refunds
Refunds are handled in accordance with our Refund Policy and the Buyer Terms of Lemon Squeezy, our payment processor and Merchant of Record. Lemon Squeezy has final authority over payment disputes and chargebacks. If a refund is issued, your license will be automatically deactivated and the Software will cease to function.
13. Relationship to the EULA
In the event of any conflict between these Terms of Service and the End User License Agreement (EULA) regarding use of the desktop application, the EULA shall govern.
14. Governing Law
These Terms shall be governed by the laws of the Republic of Korea, without regard to conflict of law principles.
